A large, publicly traded organization is seeking an experienced Paralegal to support in-house counsel on corporate governance, entity management, and securities matters. This role plays a key part in maintaining U.S. and Canadian subsidiary records and supporting public company compliance processes.
Key Responsibilities: manage domestic entity maintenance and regulatory filings; support board and subsidiary governance, including resolutions and minute books; assist with SEC and exchange reporting and compliance; support securities administration and stock plan matters; assist with diligence and transaction closings; collaborate with cross-functional teams; and provide general legal and administrative support to the corporate legal function.
Qualifications: paralegal certification or associate degree (bachelor’s preferred); 2+ years of corporate legal experience (5+ preferred); strong organizational, communication, and attention-to-detail skills; comfort managing multiple priorities in a fast-paced environment.
